英文框架合作协议(中英文对照)

就在中国境内开展“整合医学抗衰老诊所连锁项目”合作事宜，本着战略互利、优势联姻、长期合作的基本原则，甲、乙双方经友好协商一致决定，建立稳定的基础的长久的关键合作关系。双方在项目资源引入、做大做强的共识之上，以统一的业务中国本土化整合经营目标为合作基础，结成共同发展之牢固联盟。为推动和保障项目顺利进行，针对该项目中甲、乙双方战略合作关系的定位，以及双方所享有的基本权利和义务，现签订合作框架协议如下（以下简称“本框架协议”）：

Based on the basic principle of strategic mutual benefit, mutual complementarity

and long-term cooperation, both parties agree to make a stable and long-term

cooperation in “integration of medical anti-aging chain clinics” in China. After getting

to a common view on the introduction of project resources as well as the development

and growth of the cooperative project, both parties make a sturdy alliance to develop

together, with the common business and operational objective in Chinese market as

the basis for cooperation. To implement the project smoothly, both parties now sign

the following cooperation framework agreement (hereinafter referred to as “the

framework agreement”) to clarify the strategic cooperative relation between both

parties and stipulate their fundamental rights and obligations.

（一） 协议宗旨

(I) Aims of this Agreement

甲、乙双方合作建立“整合医学抗衰老诊所连锁项目”。

Party A and Party B make cooperation in creating a project about “integration of

medical anti-aging chain clinics”.

为充分发掘中国的巨大市场商机，充分利用甲方的商业资源及经营能力，充分转化乙方的技术积累及品牌优势，以此取得高额的经济回报和社会效益。协商同意，甲方作为乙方通过“整合医学抗衰老诊所连锁项目”进入中国，实现中国本土化业务落地发展，完成业务规模扩张战略目标的全权项目实施人，全面协调项目的内外部各项合作事宜。

To seek more market opportunities in China, make full use of Party A’s

commercial resources and operation capacities, and fully translate Party B’s

technology accumulation and brand advantage, to gain high economic returns and

social benefits, both parties agree that Party A, as the full-fledged implementer of the

project about integration of medical anti-aging chain clinics, through which Party B

enters Chinese market to develop a localized business to achieve the strategic target of

expanding business scope, shall take full charge of all cooperation matters.

甲方作为乙方在该项目市场及管理排他性的关键合作方，确保乙方享有不可替代的首席专家地位及关键技术股东权益。

Party A, as the exclusive key partner of Party B in the project market and

management, shall ensure Party B’s irreplaceable role as chief expert and its equity as

key technology provider.

乙方作为项目的关键技术股东之一，确保甲方的关键合作地位，及项目所需的技术或产品引入、人员培训等咨询、配套支持。

Party B, as one of the key technology providers in this project, shall ensure Party

A’s key position in the cooperation, as well as those consulting and supporting

services such as the introduction of the technologies or products required for the

project and relevant personnel training, etc.

双方同意统筹推进彼此智慧及资源整合，以项目联合发起人的名义共同参与诊所设立过程中的重要市场活动。包括项目前期的业务设计、方案论证、公关合作、品牌创设等一系列商业活动，以及融资前后的重要谈判。

Both parties agree to promote the integration of intelligences and resources in a

planned way, to jointly participate in all important marketing activities in the process

of clinic establishment under the name of project cosponsors, including a serious of

commercial activities such as business design, project approachment, cooperation in

public relations and brand creation in earlier stage of the project, as well as important

negotiations before and after financing activities.

（二） 权利与义务

(II) Rights and Obligations

1.1 甲方承认乙方为自己的战略合作伙伴，确保乙方享有不可替代的首席专家地位及关键技术股东权益。并在自身互联网官方网站的显著位置标识合作方的旗帜徽标链接或文字链接。甲方授权乙方拥有在其互联网站上转载相关资讯信息的权利。

Party A admits Party B as its own strategic partner and insures Party B has

irreplaceable status of chief expert and shareholder’s equity of key technology. Party

A conspicuously marks its partner’s flag logo link and text link on its own internet

official website. Party A accredits Party B with the right to download related

information on its official website.

1.2 甲方支持乙方享有在项目中象征性出资（不高于5万美元）、技术入只为给予您一百分的健康

股，拥有不具表决权的非累积参加优先股股份合计不低于10%的权利。该项股权清算规则见公司章程，原则上甲乙双方享有同等的清算权利。

1.2 Party A supports Party B to enjoy the rights for symbolic contribution (no

higher than 50 thousand dollars), technology investment, as well as non-cumulative

participation in preferred stock of no lower than 10% totally without the right to

vote. For clearing rules of the stock right, please refer to Articles of Association. Party

A and Party B enjoy equivalent clearing rights in principle.

1.3甲方全力塑造乙方首席医学专家个人品牌，在项目的多种形式的全国性推广活动中打造其卓越的行业地位和优秀的专业口碑。创造条件，为乙方首席医学专家在世界最大最具潜力的医疗美容市场奠定顶级声誉。

1.3 Party A shall spare no effort to build a personal brand for Party B’s identity

as a chief medical specialist, and make Party B’s position prominent in the industry

and win an outstanding professional reputation for Party B in nationwide promotion

activities. Besides, it shall create conditions to earn the best fame for Party B’s

identity as a chief medical specialist in the world’s largest and most promising

medical beauty market.

1.4 甲方支持乙方技术人员享有所参与诊疗业务足额提成的权利，全力保障乙方技术人员参与的诊疗业务量随着诊所大规模扩张实现长足增长。

1.4Party A shall support Party B’s technical staff to enjoy the right to receive

sufficient commissions from all the clinical businesses in which they participate, and

do its best to ensure that the volume of the clinical businesses in which Party B’s

technical staff participate shall increase rapidly with the massive expansion of clinic

scale.

1.5 甲方从人员、职位安排给予乙方受信的华裔委托人关键支持，确保乙方在项目进行过程中发挥其综合优势。

1.5 Party A shall give critical support to Party B’s trusted Chinese client in

personnel and post arrangement, to ensure that Party B can give full play to its

comprehensive superiorities in project implementation.

2.1 乙方承认甲方为自己的战略合作伙伴，确保甲方在该项目市场及管理享有排他性的关键合作地位。并在自身互联网官方网站的显著位置标识合作方的旗帜徽标链接或文字链接。乙方授权甲方拥有在其互联网站上转载相关资讯信息的权利。

2.1 Party B shall recognize Party A as its strategic partner and ensure Party A’s

role as exclusive key partner in the project market and management. Besides, Party B

shall put its partner’s logo or text link in a prominent place on its official website. In

addition, Party B shall authorize Party A to reprint relevant information and messages

on its internet website.

2.2 乙方授权甲方为其通过该项目进入中国医疗美容行业细分市场的全权实施人，并为项目所需的技术或产品引入、人员培训等咨询、配套提供支持。授权甲方中国范围内有权使用乙方所有附属资源，包括但不限于品牌、产品、专家，进行宣传、推广，全权负责该区域的市场拓展。

2.2 Party B shall authorize Party A as the full-fledged implementer of the

project, through which it enters the segment market of Chinese medical beauty

industry, and provide support for such consulting and auxiliary services as the

introduction of the technologies and products required for the project and relevant

personnel training. In addition, Party B shall authorize Party B to use all its auxiliary

resources in China, including but not limited to the brand, product and expert, for

publicity and promotion, so that Party A can develop Chinese market with full

authority.

2.3 乙方配合甲方在彼此站点追踪报道合作方的市场推广计划及相关营销活动。有关合作项目的专题的研讨会和各种展览会上，甲乙双方互相帮助、共同宣传，共同推进双方的品牌。

2.3 Party B shall coordinate with Party A in tracking and reporting each other’s

marketing promotion plans and relevant marketing activities on the websites. Both

parties shall help each other to jointly publicize and promote each other’s brand at all

symposiums and exhibitions where the cooperative project is involved.

2.4 乙方承诺对双方合作过程中出现的独特商业模式，拥有保密责任。

2.4 Party B promises to keep confidential all unique business patterns used in the

cooperative process.

3. 甲乙双方对本协议中涉及到的全部商业及技术秘密均应严格保密，在双方书面授权清单外的相关机密不得外泄。如果违反将依法承担相关的一切法律责任。违约责任条款见补充协议二。

3. Either party shall not divulge any commercial and technical secret in this

Agreement without the other party’s written authorization. It shall bear all relevant

legal liabilities if it violates this term. The provision about liabilities for breach is

shown in Supplemental Agreement II.

4.甲方在该合作项目中享有的总体利益为代表乙方全权实施的项目经营决策权，在符合本框架协议精神的实施范围内乙方须完全认可并予以支持配合。

4. Party A’s overall benefit in this cooperative project is that it has the right to

make decision on project management on behalf of Party B. Party B shall fully

endorse Party A’s overall benefit and give support to it within the effective scope of

this framework agreement.
