English Translation of Processing Contract

Whereas, Party B agrees to process the products as specified
by Party A in accordance with the terms of this contract.
1. Basic Information of Parties
Party A and Party B are independent legal entities engaging
in business pursuant to the relevant laws and regulations of the
People’s Republic of China. Party A is the owner of the products to
be processed and Party B is a professional processing company.
2. Identity, Rights and Obligations of Parties
2.1 Identity
Party A shall provide true and valid identification documents.
Party B shall provide the business license, legal representative
identification documents and other necessary documents as
requested by Party A.
2.2 Rights and Obligations
2.2.1 Party A has the right to provide the products to be
processed to Party B according to the requirements set forth in
this Contract.
2.2.2 Party B shall process the products strictly in accordance
with the quality, quantity and technical requirements stipulated
by Party A. Party B shall be responsible for the quality of the
products it processes, and shall guarantee that the processed
products meet the required quality standards.
2.2.3 Party A shall provide a detailed description of the
products to be processed, including but not limited to the name,
type, quantity, specifications and quality standards of the
products.
2.2.4 Party B shall provide the processing equipment, raw
materials, labor and other necessary resources for the Processing
Services.
2.2.5 Party A shall pay the processing fees in accordance with
the prices and payment terms agreed upon in this Contract.
2.3 Performance Method
Party B shall process the products in accordance with the
technical requirements and quality standards set forth by Party A.
Party B shall complete the Processing Services within the agreed
time limit.
2.4 Term
The term of this Contract shall be [x] months/years,

2.5 Breach of Contract Responsibility
2.5.1 If Party A breaches this Contract, Party B has the right
to terminate this Contract and claim compensation for losses
suffered.

any resulting damage.
3. Compliance with Relevant Laws and Regulations
The Processing Services provided by Party B shall comply
with relevant laws and regulations of the People’s Republic of

and quarantine. If Party B violates relevant laws and regulations,
Party B shall be liable for any resulting losses and responsibilities.
4. Specification of Rights and Obligations
This Contract specifies the rights and obligations of Party A
and Party B and any other relevant requirements agreed upon by
both parties. Neither party shall unilaterally amend or terminate
this Contract without the written consent of the other party.
5. Legal Validity and Enforceability
This Contract shall be deemed legally binding and
enforceable upon both parties and shall remain in effect until the
fulfillment of all obligations set forth herein. Any disputes arising
from or in connection with this Contract shall be resolved through
friendly negotiations. If no agreement is reached, either party
may pursue legal action in accordance with the laws of the
People’s Republic of China.
6. Other Matters
Any other matters not addressed in this Contract shall be
dealt with in accordance with the relevant laws and regulations of
the People’s Republic of China.
