TECHNICAL SERVICES AGREEMENT

This Technical Services Agreement (the “Agreement”) is

entered into on [Date], by and between [Company Name]

(hereinafter referred to as “Service Provider”), a company duly

registered and organized under the laws of [Country/Region],

with its principal place of business located at [Address], and

[Company Name] (hereinafter referred to as “Client”), a company

duly registered and organized under the laws of [Country/Region],

with its principal place of business located at [Address].

WHEREAS, Service Provider has expertise and experience in

providing technical services in [Field], and Client desires to engage

NOW, THEREFORE, in consideration of the premises and

mutual covenants contained herein, the parties agree as follows:

1. Scope of Services

Service Provider agrees to provide technical services related

to [Field] to Client, including but not limited to [Service Details].

Service Provider shall use reasonable efforts to complete the

services on time and in accordance with the agreed-upon

2. Payment

Client agrees to pay Service Provider for the services

rendered in accordance with the fee schedule set forth in Exhibit

A attached hereto (the “Fee Schedule”). Client shall pay the fees

within [Number] days after receipt of an invoice from Service

Provider. In the event payment is not received within [Number]

days of the invoice date, Client shall pay interest on the

outstanding amount at a rate of [Rate] per annum.

3. Term and Termination

This Agreement shall commence on the date hereof and shall

continue until [Date] (the “Term”), unless earlier terminated in

accordance with this Agreement. Either party may terminate this

Agreement at any time upon [Notice Period] days’ prior written

notice to the other party.

4. Confidentiality

The parties agree that all information disclosed by one party

to the other during the course of performance of this Agreement

shall be kept confidential and shall not be disclosed to any third

party, except as required by law or with the prior written consent

of the disclosing party. The parties further agree to take all

necessary and reasonable precautions to maintain the

confidentiality of the information.

双方同意在履行本协议的过程中披露的所有信息应保密，除非法律要求或披露方的事先书面同意，否则不得披露给任何第三方。双方进一步同意采取一切必要和合理的措施保持信息的机密性。

5. Representations and Warranties

Service Provider represents and warrants that it has the

requisite experience and competence to provide the services

contemplated hereunder. Client represents and warrants that it

has the right and authority to enter into this Agreement.

6. Governing Law

This Agreement shall be governed by and construed in

accordance with the laws of [Country/Region]. Any legal action or

proceeding arising out of or relating to this Agreement shall be

7. Entire Agreement
