Risk Agency Agreement

风险代理协议

This Risk Agency Agreement (the "Agreement") is made and

entered into on the [date] by and between [party A] (hereinafter

referred to as "Principal") and [party B] (hereinafter referred to as

"Agent") (collectively referred to as "the Parties").

本《风险代理协议》（以下简称“协议”）由甲方[基本信息]和乙方[基本信息]于[date]签订并生效，甲乙双方合称为“合同双方”。

Whereas, the Principal desires to retain the services of Agent

to provide risk management services in relation to [brief

description of the services];

甲方希望聘请乙方为其提供与[服务简介]相关的风险管理服务；

Whereas, the Agent represents that it has the necessary skills,

knowledge and expertise to provide the services; and

乙方代表有提供服务的必要技能、知识和专业知识；

Now, therefore, for and in consideration of the mutual

covenants and agreements contained herein, the Parties agree as

follows:

现在，为了对本协议的互惠约定和协议内容进行考虑，双方达成了以下协议：

1. Scope of Services

1. 服务范围

The Agent shall provide the services to the Principal during

the Term of this Agreement, which services shall be limited to

[brief description of the services to be provided].

乙方将在本协议所规定的期限内为甲方提供服务，该服务将仅限于[服务简介]。

2. Term

2. 合同期限

This Agreement shall commence on the [date] and shall

remain in full force and effect until terminated by either Party

upon [number of days] days' written notice to the other Party (the

"Term").

本协议于[date]生效并继续有效，除非一方另行书面通知解除，否则本协议继续有效。解除通知期为[number of days]天。

3. Compensation

The Principal shall pay the Agent for the services in the

amount of [amount] (the "Compensation"). The Compensation

shall be payable on a [weekly/monthly/etc.] basis.

甲方应支付乙方服务费用[amount]，服务费用将以[weekly/monthly/etc.]为单位支付。

4. Representations and Warranties

4. 陈述与保证

a. The Principal hereby represents and warrants that it has

the legal capacity and authority to enter into this Agreement;

甲方保证其有法律能力和授权签订本协议；

b. The Agent hereby represents and warrants that it has the

necessary skills, knowledge and expertise to provide the services;

乙方保证其有提供服务的必要技能、知识和专业知识；

c. Each Party hereby represents and warrants that it will

comply with all applicable laws and regulations in performing its

obligations under this Agreement;

双方各自保证在本协议规定的义务履行过程中遵守适用的法律法规；

d. Each Party represents and warrants that it has not entered

into any agreement or arrangement that would conflict with the

terms of this Agreement.

双方各自陈述并保证其未与任何协议或安排发生违反本协议条款的情况。

5. Confidentiality

5. 保密

The Agent shall keep all information provided by the

Principal confidential and shall not disclose such information to

any third party without the prior written consent of the Principal.

乙方应保守甲方提供的所有信息，并在未经甲方事先书面同意的情况下不向任何第三方披露该信息。

6. Intellectual Property

6. 知识产权

All intellectual property rights arising from or in connection

with the services provided by the Agent shall belong to the

Principal.

所有由乙方提供的服务产生的或与其相关的知识产权应归属于甲方。

7. Termination

7. 解除

This Agreement may be terminated by either Party upon

[number of days] days' written notice to the other Party, or

immediately upon written notice for cause, including, but not

limited to, breach of this Agreement, insolvency, or violation of

any applicable laws or regulations.

双方一方可书面通知另一方[number of days]天后解除本协议；双方可在违反本协议、破产或违反任何适用法律法规等原因时书面通知立即解除本协议。

8. Governing Law and Jurisdiction

8. 适用法律和管辖

This Agreement shall be governed by and construed in

accordance with the laws of the People's Republic of China. Any

disputes arising out of or in connection with this Agreement shall

be submitted to the [insert name of arbitration commission] for

arbitration in accordance with its rules. The arbitral award shall be

final and binding on both Parties.

本协议适用中华人民共和国法律。因本协议产生的任何争议应提交[仲裁委员会名称]仲裁，按其规则进行调解。仲裁裁决是对双方都具有约束力的最终决定。

9. Entire Agreement

9. 整个协议

This Agreement constitutes the entire agreement between

the Parties and supersedes all prior negotiations, understandings

and agreements between the Parties relating to the subject

matter hereof.

本协议构成双方之间的整个协议，并取代双方之间与本协议主题相关的所有先前的谈判、理解和协议。

10. Notices

10. 通知

Any notice or communication required or permitted under

this Agreement shall be in writing and shall be deemed to have

been given when delivered in person or deposited in the mail with

postage prepaid to the Party at its address set forth below or at

such other address as such Party may designate by written notice

to the other Party.

本协议项下的任何通知或通信应以书面形式进行，当以个人递送或寄邮件形式交付至下列地址，或向对方书面通知的其他地址时视为已送达。

11. Counterparts

11. 双方签署

This Agreement may be executed in counterparts, each of

which shall be deemed an original, but both of which together

shall constitute one and the same instrument.

本协议可以分别签署。每一份副本都应被视为整个协议的原始副本。
